VISUALGATE CORP. TERMS OF SERVICES

1. Introduction

These Terms of Service ("Terms") govern the use of the services offered by Visualgate Corp. ("Visualgate", "we", "us", or "our") including 3D animation production, concept development, and related services (collectively, the "Services"). By using our Services, you ("Client", "you", or "your") agree to be bound by these Terms.

2. Services

The specific Services provided will be detailed in a separate agreement referred to as a "Statement of Work" ("SOW") for each project. The SOW will outline the project scope, deliverables, timeline, and fees.

3. Project Process

Pre-Production: Collaboration will begin with discussing your project goals, creative vision, and budget. We will provide a project proposal and SOW for your approval.
Production: Upon approval of the SOW, production commences. This may involve concept development, storyboarding, 3D modeling, animation, and other steps as outlined in the SOW. We will keep you informed of progress and provide opportunities for feedback throughout the process.
Delivery: Once the final animation is complete and approved by you, we will deliver the final files according to the agreed-upon format in the SOW.

4. Client Responsibilities

You are responsible for providing clear and concise information regarding your project goals, creative vision, and any reference materials.
You will provide timely feedback during the production process.
You are responsible for obtaining all necessary rights and permissions for any third-party content (e.g., music, sound effects, trademarks) to be included in the animation.

5. Revisions

A limited number of revisions are included in the SOW. Additional revisions may be requested for an additional fee.

6. Intellectual Property

Visualgate retains ownership of all intellectual property rights associated with our creative work developed during the pre-production phase, unless otherwise agreed upon in the SOW. Upon full payment, ownership of the final animation will transfer to you, with specific limitations outlined in the SOW regarding usage and distribution.

7. Payment Terms

Payment terms will be specified in the SOW. Generally, a deposit is required to initiate the project, with potential milestones for payment throughout production.

8. Confidentiality

Both parties agree to maintain the confidentiality of any non-public information disclosed during the project.

9. Termination

This agreement may be terminated by either party upon written notice for cause, such as a breach of these Terms or project abandonment.

10. Disclaimer

Visualgate will use commercially reasonable efforts to deliver high-quality Services. However, we cannot guarantee specific outcomes or be held liable for delays caused by factors beyond our control.

11. Limitation of Liability

Visualgate's liability for any damages arising from these Terms or the Services provided will be limited to the amount paid by the Client for the specific project.

12. Governing Law

These Terms will be governed by and construed in accordance with the laws of the State of Andhra Pradesh India.

13. Entire Agreement

These Terms constitute the entire agreement between you and Visualgate regarding the Services and supersede all prior or contemporaneous communications or agreements.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

15. Updates to Terms of Service

Visualgate reserves the right to update these Terms at any time. We will notify you of any changes by posting the revised Terms on our website. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of the changes.
